Terms of Use

These Terms of Use ("Terms") govern your access to and use of the Flip Daily mobile application and related services (collectively, the "Service"), provided by Awaken Your, LLC ("Flip Daily," "we," "us," or "our"). By downloading, accessing, or using the Service, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the Service.
1. Eligibility
You must be at least 13 years old to use Flip Daily. If you are between 13 and the age of majority in your jurisdiction, you may use the Service only with the involvement and consent of a parent or legal guardian who agrees to these Terms on your behalf. By using the Service, you represent and warrant that you meet these requirements and that the information you provide is accurate.
2. Your Account
To use certain features, you must create an account with a valid email address and a display name. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to notify us promptly of any unauthorized use. We may suspend or terminate accounts that violate these Terms.
3. The Service
Flip Daily is a flashcard and spaced-repetition study application that lets you create, edit, study, and (on a paid plan) publish and share decks of study cards. Features available on the free and paid tiers are described in the app and may change over time. We may add, modify, or discontinue features at our discretion.
4. Subscriptions, Auto-Renewal, and Billing
Flip Daily offers an optional auto-renewable subscription, Flip Daily Pro, which unlocks additional features. The following terms apply to all subscriptions purchased through the Apple App Store:

Subscription options. Flip Daily Pro is offered on a monthly and an annual basis. The title, duration, and price of each option are displayed on the purchase screen within the app at the time of purchase. Prices are stated in your local currency and may vary by region.
•
Payment. Payment is charged to your Apple Account at confirmation of purchase.
•
Auto-renewal. Your subscription automatically renews unless it is canceled at least 24 hours before the end of the current period. Your Apple Account will be charged for renewal within 24 hours prior to the end of the current period, at the price of the then-current plan.
•
Managing and canceling. You can manage or cancel your subscription at any time in your Apple Account settings (Settings → your name → Subscriptions, or the App Store account page). Cancellation takes effect at the end of the current billing period; you will retain access to paid features until then. We are unable to cancel subscriptions on your behalf.
•
Free trials or introductory offers. If we offer a free trial or introductory offer, any unused portion is forfeited when you purchase a subscription, where applicable. Unless canceled before the trial ends, the subscription will automatically convert to a paid subscription.
•
Refunds. Purchases are processed by Apple, and refunds are handled in accordance with Apple's policies. Except where required by law, payments are non-refundable, and we do not provide refunds or credits for partially used periods. To request a refund, contact Apple Support.
•
Price changes. We may change subscription prices. If a price change affects your existing subscription, Apple will notify you and, where required, request your consent before the change takes effect.
5. User Content
Flip Daily allows you to create decks, cards, and other content ("User Content"), including content you choose to publish to the Discover area for other users.
•
Ownership. You retain ownership of your User Content.
•
License to us. By creating User Content, you grant us a worldwide, non-exclusive, royalty-free license to host, store, reproduce, modify (for formatting/display), and display that content solely to operate, provide, and improve the Service. If you publish a deck to Discover, you additionally grant other users a license to view, copy (“subscribe to”), and study that content within the Service.

Responsibility. You are solely responsible for your User Content and represent that you have all necessary rights to it and that it does not violate these Terms or any law or third-party right.
6. Acceptable Use
You agree not to use the Service to create, upload, publish, or share content that:
•
is unlawful, harmful, threatening, abusive, harassing, defamatory, or hateful;
•
is sexually explicit, pornographic, or otherwise inappropriate, particularly given that the Service is available to users aged 13 and older;
•
depicts or promotes violence, self-harm, or illegal activity;
•
infringes any intellectual property, privacy, or other right;
•
contains spam, malware, or misleading information; or
•
impersonates any person or entity.
You also agree not to misuse the Service, including by attempting to gain unauthorized access, interfering with its operation, scraping data, or circumventing usage limits or security measures.
7. Content Moderation and Reporting
We are not obligated to monitor User Content but may do so. Users can report shared decks they believe violate these Terms. We reserve the right, in our sole discretion, to review, hide, remove, or restrict any content, and to suspend or terminate accounts, with or without notice, including content that is reported and pending review. We are not responsible for User Content created by other users.
8. Intellectual Property
The Service, including its software, design, text, graphics, logos, and other materials (excluding User Content), is owned by Flip Daily or its licensors and is protected by intellectual property laws. We grant you a limited, personal, non-exclusive, non-transferable, revocable license to use the Service for your personal, non-commercial use, subject to these Terms.
9. Third-Party Services
The Service relies on third-party providers (including Apple for app distribution and payments, and our infrastructure and analytics providers) to function. Your use of the Service may be subject to those third parties' terms. We are not responsible for third-party services.
10. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY STUDY METHOD WILL ACHIEVE PARTICULAR RESULTS.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, FLIP DAILY AND ITS OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF DATA, PROFITS, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM, OR (B) USD $50.
12. Indemnification
You agree to indemnify and hold harmless Flip Daily from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your User Content, your use of the Service, or your violation of these Terms or any law or third-party right.
13. Termination
You may stop using the Service at any time. We may suspend or terminate your access at any time, with or without notice, for any reason, including violation of these Terms. Upon termination, your right to use the Service ceases. Sections that by their nature should survive (including ownership, disclaimers, limitation of liability, and indemnification) will survive.
14. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will provide notice (for example, by updating the "Last Updated" date or notifying you in the app). Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
15. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of North Dakota, United States, without regard to its conflict-of-laws rules.
16. Apple App Store Additional Terms
These Terms are between you and Flip Daily only, not with Apple Inc. ("Apple"). The following applies to your use of the Service obtained through the Apple App Store:
•
Apple has no obligation to provide maintenance or support for the Service.
•
In the event the Service fails to conform to any applicable warranty, you may notify Apple, and Apple will refund the applicable purchase price (if any); to the maximum extent permitted by law, Apple has no other warranty obligation with respect to the Service.
•
Apple is not responsible for addressing any claims by you or any third party relating to the Service, including product-liability claims, claims that the Service fails to conform to legal or regulatory requirements, and claims under consumer-protection or similar laws.
•
Apple is not responsible for the investigation, defense, settlement, or discharge of any third-party claim that the Service or your use of it infringes intellectual property rights.
•
You represent that you are not located in a country subject to a U.S. Government embargo or designated as "terrorist supporting," and that you are not on any U.S. Government list of prohibited or restricted parties.
•
You must comply with applicable third-party terms of agreement when using the Service.
•
Apple and its subsidiaries are third-party beneficiaries of these Terms and, upon your acceptance, will have the right to enforce these Terms against you.
